Welcome to BuyBiz! These Terms and Conditions ("Terms") govern your use of the BuyBiz platform, including all related services, content, and features available on BuyBiz App on Google Play and Apple Store ("Platform" / "BuyBiz"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

Acceptance of Terms

By registering, accessing, or using BuyBiz, you affirm that you have read, understood, and agreed to these Terms and our Privacy Policy. BuyBiz reserves the right to modify these Terms at any time, and any changes will be effective immediately upon posting. It is your responsibility to regularly review these Terms.

Eligibility

You must be at least 18 years old to register and use the BuyBiz platform. By registering, you warrant that you are legally capable of entering into binding contracts and comply with all applicable laws and regulations.

This Platform is intended only for adults and that you are eligible to contract as per applicable laws. If you are using/accessing this Platform as a representative of any person/entity, you acknowledge that you are legally authorized to represent that person/entity. Minors, i.e. users under 18 years of age, are only allowed to access the Platform with prior approval of their legal guardian. Minors are not allowed to use the Service. Minors under Indian law cannot enter into any contracts with third parties and hence, cannot transact using the Platform. If you are a minor under Indian law, please refrain from entering into any transaction through the Platform. If you are the legal guardian of a minor, you affirm and acknowledge that you cannot enter into any contract on behalf of a minor and neither can you bind a minor in a transaction. As a legal guardian of a minor, you acknowledge that you are contracting as an independent entity with a third party even if you are doing so at the insistence of a minor.

NOTICE TO MINORS: If you are a minor, please do not send us your personal information, including your email addresses, name, and/or contact information. If you want to contact us, you may only do so through your parent or legal guardian

Platform Services

BuyBiz provides a marketplace where users can:

• List businesses, intellectual property (trademarks, copyrights, patents, domains), and related assets for sale or purchase.
• Connect with potential buyers, sellers, or investors through in-platform chat or calls.
• Discover opportunities to buy, sell, or invest in listed businesses and IPs.

BuyBiz only facilitates connections between users. We are not a party to transactions between users, and we do not own or verify the items or listings. The accuracy, legality, and quality of the items listed are solely the responsibility of the listing party.

User Responsibilities

When using BuyBiz, you agree to:

• Provide accurate, complete, and current information about yourself and your listings.
• Maintain the confidentiality of your account information, including your password.
• Ensure that any content or listing you provide is accurate, does not violate any third-party rights, and complies with all applicable laws.
• Use the platform for lawful purposes and refrain from engaging in any fraudulent, abusive, or harmful activities.

You are solely responsible for the transactions you enter into and the consequences of those actions. BuyBiz does not guarantee the success of any deal or transaction initiated through the Platform.

User Conduct

You agree to use the Platform in a lawful, respectful, and ethical manner. Specifically, you agree not to:

• Post or transmit any false, misleading, or unlawful content.
• Use the Platform to harass, defraud, harm, or threaten other users.
• Impersonate another person or entity or misrepresent your affiliation.
• Use automated systems (e.g., bots, scripts) to interact with the Platform without prior permission.
• Introduce malware, viruses, or any harmful code to the Platform.

If you violate these Terms, BuyBiz reserves the right to suspend or terminate your account without notice.

Listing and Transactions

When listing intellectual property or a business for sale on BuyBiz, you agree to:

• Provide accurate and complete descriptions of the asset, including any relevant legal documentation, registration details, or ownership rights.
• Ensure that you hold the proper title or legal right to sell the item or business.

As a buyer or investor, you are responsible for conducting due diligence before making any transaction. BuyBiz does not endorse, verify, or guarantee the quality, legitimacy, or accuracy of any listing on the Platform.

Fees and Payments

BuyBiz may charge fees for premium listing services or other paid features. Any such fees will be clearly stated, and you will be notified before incurring any charges. Payment processing will be handled by third-party payment providers, and you are responsible for all applicable taxes.

Communication Tools

BuyBiz provides chat and call features that allow users to communicate directly. You agree to use these tools only for the purposes of discussing, negotiating, and completing transactions related to listings on the Platform.

Users are prohibited from:

• Sharing contact information outside the platform to evade platform fees or terms.
• Using the communication tools for spam, harassment, or illegal activities.
• Recording or storing communications without consent from all parties involved.

Intellectual Property

BuyBiz owns and retains all rights, titles, and interests in the Platform, including all content, trademarks, logos, and software. You agree not to copy, modify, distribute, or create derivative works from any content on the Platform without our written consent.

By submitting content or listings to BuyBiz, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform for the purposes of operating, promoting, and improving our services.

Disclaimer of Warranties

BuyBiz provides the Platform on an "as-is" and "as-available" basis. We do not warrant or guarantee that the Platform will be error-free, secure, or uninterrupted, or that any defects will be corrected. You use the Platform at your own risk.

1. No Guarantee of Accuracy
   All information, documents, and listings posted on the platform are provided directly by users. BuyBiz does not verify, endorse, or guarantee the accuracy, completeness, or authenticity of any listing, post, or communication.

2. User Responsibility & Due Diligence
   Users are solely responsible for conducting their own due diligence, verification, and independent checks before entering into any transaction. This includes reviewing ownership documents, financial records, intellectual property registrations, and legal compliances.

3. Transactions & Payments
   BuyBiz is not a party to any transaction between users. The platform does not provide escrow services unless explicitly stated. Users are advised to ensure that all payments and transfers are conducted through secure and reliable channels at their sole responsibility.

4. Liability Disclaimer
   BuyBiz shall not be held liable for any loss, fraud, misrepresentation, or damages (direct or indirect) arising from transactions, listings, or user interactions on the platform.

5. Fraud Prevention
   Users are strictly prohibited from posting false, misleading, or fraudulent listings and/or connect with users via chat feature to gain personal information with a fraudlent intention. Any suspicious activity should be reported immediately to email ID: hello@buybiz.co.in  with Subject: Fraud 

6. Legal Compliance
   Users are responsible for ensuring that their listings and transactions comply with all applicable laws, regulations, and intellectual property rights.

To the fullest extent permitted by law, BuyBiz disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, BuyBiz will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to lost profits, loss of data, or any failure of performance.

BuyBiz's total liability to you, for any reason, will not exceed the amount you paid to us (if any) during the 12-month period preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold BuyBiz harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any law or the rights of a third party.

Termination

BuyBiz reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or engaged in activities that harm or threaten the security, functionality, or integrity of the Platform.

Upon termination, your right to use the Platform will immediately cease, and you must discontinue all access and use of the Platform.

Governing Law, Jurisdiction and Dispute Resolution

These Terms and any disputes arising from your use of the Platform will be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Mumbai, Maharashtra.

Any claim you may have against BuyBiz shall be resolved by mutual discussions or negotiations between you and BUYBIZ. If within thirty (30) days after commencement of such discussions and negotiations, you and BuyBiz fail to resolve the dispute, then such dispute shall be resolved through arbitration by a sole arbitrator mutually appointed by both you and BuyBiz. The arbitration shall be as per the Arbitration and Conciliation act, 1996. The seat of arbitration shall be Mumbai, India. All proceedings shall be in English. Subject to arbitration, the courts at Mumbai (M.S), India shall have exclusive jurisdiction. The failure of BuyBiz to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision or provisions of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions of the Terms shall not in any way be affected or be impaired. These Terms shall inure to the benefit of and be binding upon the successors and assigns of both you and BuyBiz.

Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and BuyBiz regarding the use of the Platform.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed severable, and the remainder will remain in effect.
• Waiver: Failure by BuyBiz to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Disclaimer

BuyBiz is a platform for users to connect and interact. Users are responsible for verifying the identity and information of other users before sharing details or making any transaction.

BuyBiz is not responsible for any fraud, loss, or damage arising from user interactions or transactions. Please Report or Block any suspicious user or advertisement.
